What a Corporate Tax Director Does

Corporation tax compliance strategy. The Corporate Tax Director is responsible for the group’s corporation tax returns — ensuring that the tax returns for all UK group entities are prepared accurately, filed on time and are consistent with the group’s tax accounting positions in the statutory accounts. For large groups with multiple UK entities and complex group relief positions, the corporation tax compliance function is a significant management responsibility requiring both technical accuracy and efficient team management.

Tax risk management. The Corporate Tax Director identifies, assesses and manages the group’s direct tax risk — the positions in the corporation tax returns that HMRC might challenge, the transactions that create tax uncertainty and the legislative changes that affect the group’s tax position. The Corporate Tax Director maintains the group’s tax risk register, ensures that the most significant tax risks are reported to the Audit Committee and manages the relationship with the group’s external tax advisers on contested positions.

HMRC enquiry management. The Corporate Tax Director manages all material HMRC corporate tax enquiries — determining the strategy for responding to HMRC information requests, assessing when external counsel is required and managing the negotiation of settlements on disputed positions. The Corporate Tax Director at a large group may be managing three to five concurrent HMRC enquiries at any given time.

Transaction tax advisory. The Corporate Tax Director provides the tax analysis for major group transactions — the tax structuring analysis for acquisitions, the tax aspects of group reorganisations and inter-entity restructurings, the withholding tax analysis for cross-border payments and the tax clearance applications for significant transactions. This advisory function requires the Corporate Tax Director to be embedded in the M&A and treasury processes, not simply reviewing completed transactions after the fact.

Tax provision management. The Corporate Tax Director owns the group’s tax provision — the current and deferred tax charge and balance in the group’s statutory accounts. The tax provision at a large group is one of the most technically complex and materiality-significant items in the statutory accounts, and the Corporate Tax Director’s judgement on the tax provision directly affects the reported effective tax rate.

Team leadership. The Corporate Tax Director leads the corporate tax team — typically two to four tax professionals including Tax Managers and Tax Assistants — and manages the external tax adviser relationships that supplement the in-house team’s capabilities.

Corporate Tax Director vs Head of Tax: When Are They Different Roles?

In many organisations, the ‘Corporate Tax Director’ and the ‘Head of Tax’ describe the same role — the most senior in-house tax professional, responsible for all taxes affecting the group. The distinction is most clear when the role descriptions are different in scope: the Head of Tax covers all taxes (direct, indirect, employment, international) and is the most senior tax professional in the business; the Corporate Tax Director covers direct tax specifically and reports to a Head of Tax or Group Finance Director who has overall responsibility for the tax function.

The Corporate Tax Director as a separate role from the Head of Tax is most common at: large listed companies where the complexity of each tax discipline (direct, indirect, employment, international) justifies specialist Director-level professionals reporting to an overarching Head of Tax; large PE-backed groups with complex international tax structures where the direct tax function alone is large enough to require a Director-level leader; and FTSE 350 businesses with a formal tax committee and a tax governance framework that requires distinct functional leadership at Director level.

Corporate Tax Director Qualifications

The Corporate Tax Director role at £110,000 and above requires CTA qualification — typically with the Corporation Tax and Taxation of Major Corporates papers that are most directly relevant to the role’s scope — developed through the corporate tax team of a Big Four or Top 10 firm. ACA qualification combined with extensive in-house or practice corporate tax experience is also common at Corporate Tax Director level, particularly at businesses where the statutory accounts and financial reporting dimension of the tax provision and deferred tax calculation is as significant as the compliance and advisory function.

The specific capabilities that most distinguish Corporate Tax Director candidates: HMRC enquiry management at a level of complexity and financial materiality that required significant strategic judgement; transaction tax advisory experience on at least two to three significant M&A transactions; tax provision management under IFRS or FRS 102 at group level; and corporate tax team leadership experience.

Practice to In-House: Corporate Tax Director Transition

Most in-house Corporate Tax Directors have trained in the corporate tax team of a Big Four or Top 10 practice, making the in-house transition at six to twelve years of post-CTA experience — typically from a Senior Manager or Director level at the practice. Corporate Tax Director: UK Pillar Two and the New Compliance Landscape

The introduction of the OECD Pillar Two global minimum tax rules in the UK from 1 January 2024 has added a significant new compliance and strategic advisory burden to the in-house corporate tax function at qualifying groups.
